1.    Acceptance and Permitted Use: These Terms of Use (the “Terms”) apply to capital-invest.com, including the company and business-line pages on that domain (collectively, the “Site”). Capital Investment Companies is a collective name used for the separately organized companies presented on the Site. References to “Capital,” “we,” “us,” or “our” mean the company responsible for the applicable Site content, product, or service.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. We may revise these Terms by posting an updated version and changing the “Last Updated” date. Revised Terms apply to your use of the Site after they are posted, subject to any notice or consent required by law.

You may use the Site only for lawful purposes. You may not gain unauthorized access to the Site, an account, or a related system; misuse a password, information, or material; introduce malicious code; damage, disable, overburden, or impair the Site; interfere with another person’s use; or use the Site in a way that violates applicable law or another person’s rights.

The Advisor Login is intended only for financial professionals authorized by Capital to access the Advisor Dashboard and other adviser resources. It is not client account access and is separate from the Pershing Online Access link described below. You may use only credentials issued or authorized for you, must safeguard them, and may not provide Site access to an unauthorized person.

2.    Informational Purposes; No Advice or Offer: The Site provides general information about Capital and products and services that may be available through particular Capital companies and financial professionals. Site content is not individualized investment, legal, tax, or accounting advice or a recommendation, offer, or solicitation to buy or sell any security, financial instrument, product, or service or to participate in any strategy or transaction. You should consult your own investment, legal, tax, and accounting professionals regarding your circumstances. Products and services are available only through the appropriately registered or licensed company and financial professional and where they may lawfully be offered.

Use of the Site or submission of an inquiry does not create a brokerage, investment-advisory, fiduciary, client, customer, or other professional relationship. Capital does not accept securities orders, fund-transfer instructions, account changes, or other time-sensitive account instructions through the Site’s public contact form or ordinary email. Do not submit Social Security numbers, account numbers, passwords, or other sensitive information through those channels.

3.    Regulatory Information: Securities are offered through Capital Investment Group, Inc. and Capital Investment Brokerage, Inc., registered broker-dealers and members of FINRA and SIPC. Advisory services may be offered through Capital Investment Counsel, Inc. or Capital Investment Advisory Services, LLC, investment advisers registered with the U.S. Securities and Exchange Commission. Registration does not imply a particular level of skill or training or approval by any regulator. Investing involves risk, including possible loss of principal, and past performance does not guarantee future results.

4.    Accuracy, Availability, and Disclaimer of Warranties: Capital seeks to provide useful information, but content may contain errors, become outdated, or be changed or discontinued. To the fullest extent permitted by law, the Site and its content are provided “as is” and “as available.” Capital disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, security, and availability, and does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Internet communications and downloads involve risks. Capital does not warrant that transmissions to or from the Site, email associated with the Site, or downloadable materials will be secure or free from interception, viruses, or other harmful components. You are responsible for using appropriate safeguards and for any decision to download or rely on Site content.

5.    Limitation of Liability: To the fullest extent permitted by law, Capital and its officers, directors, employees, representatives, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of, inability to use, delay in, or performance of the Site or its content, downloads, transmissions, or linked third-party services.
Nothing in these Terms waives any right or protection that cannot lawfully be waived, including under applicable securities or privacy laws, or excludes liability that cannot lawfully be excluded. These Terms do not alter Capital’s duties under applicable law or any separate account, advisory, brokerage, or other service agreement.

6.    Third-Party Websites and Services: The Site contains links to independently operated third-party websites and services. In particular, the Pershing Online Access link takes you to Pershing’s NetXInvestor website for client account access; authentication and account access occur on that external website, not on the Site. Capital does not control third-party sites or their content, availability, security, accessibility, privacy practices, or terms. A link does not by itself imply affiliation, sponsorship, or endorsement.
Your use of an external account-access portal is subject to the provider’s terms and privacy notices. Information Capital receives or handles in connection with your account remains subject to applicable law, applicable account agreements, and Capital’s financial privacy notices. Nothing in this section limits Capital’s own obligations concerning its service providers or its handling of your information.

The Site also uses third-party services to provide functions such as analytics, video, maps, bot protection, social sharing, font delivery, hosting, and security. Those services may receive technical information, including an IP address, page URL, device or browser information, or interaction data, as described in applicable privacy and cookie notices.

7.    Intellectual Property: The Site and its content are owned by Capital or its licensors and protected by copyright, trademark, and other laws. You may view, download, and print content for personal, non-commercial use without modifying it or removing any proprietary or regulatory notice. Financial professionals may also use materials for professional purposes expressly authorized by Capital, subject to any restrictions accompanying those materials. Any other reproduction, distribution, republication, or commercial use requires the owner’s prior written permission.

8.    Privacy: Capital may collect information that you submit through the Site, such as your name, email address, and message, and technical information generated through Site operation, including server logs, analytics identifiers, and information associated with cookies and similar technologies. Please review the privacy and cookie notices made available on the Site for additional information about these practices. Capital’s Financial Privacy Notice, available on the Form CRS & Other Disclosures page, addresses personal information handled in connection with financial products and services.

9.    Governing Law: Except as otherwise required by law, these Terms and claims arising solely from Site use are governed by North Carolina law, without regard to conflict-of-law principles. This does not modify any dispute provision in a separate agreement.
